Dentistry.com Terms and Conditions With Clients

These Dentistry.com Listing Terms and Conditions (the “Terms”) govern the services provided by Futuredontics, LLC, d/b/a Dentistry.com (“Dentistry.com,” “Company,” “we,” or “us”) to the client identified in the applicable order form, insertion order, sales order, statement of work, or other written agreement referencing these Terms (“Client” or “you”). These Terms, together with any such order (the “Order”), constitute the “Agreement.”

  1. Services and Fees
    1. Services. Dentistry.com provides online dental practice listing and profile services on Dentistry.com and related Company properties (the “Services”). Services may include, as specified in the applicable Order:
      (a) creation, hosting, and publication of Client listing(s) and profile page(s);
      (b) display of practice information, including name, address, phone number, hours, providers, accepted insurance plans, services, photos, logos, and similar content;
      (c) distribution of listing information across Dentistry.com-controlled pages and features; and
      (d) optional paid enhancements such as featured placement, enhanced profiles, badges, call tracking, analytics, or promotional placements.
    2. Fees. Service fees (“Service Fees”) are as set forth in the applicable Order or otherwise agreed in writing. Unless expressly stated otherwise, all Service Fees are non-cancelable during the applicable billing period and non-refundable to the fullest extent permitted by law.
  2. Payment
    1. Billing and Autopay. Dentistry.com will invoice Client on the schedule set forth in the Order, typically on a monthly or annual basis. Service Fees are billed automatically during the first week of each billing period using the payment method maintained on file.
    2. Late Payments. Past-due amounts may accrue interest at a rate of 1.0% per month (or the maximum rate allowed by law, if less). Client is responsible for reasonable collection costs, including attorneys’ fees, incurred by Dentistry.com in connection with collection of overdue amounts.
  3. Term and Termination
    1. Term. The term of this Agreement is set forth in the applicable Order or otherwise agreed in writing.  Services shall automatically renew for successive terms equal in length to the initial term unless terminated in accordance with this Agreement.
    2. Client Termination. Client may terminate the Services for any reason with thirty (30) days’ written notice prior to their renewal to Dentistry.com by email or mail in accordance with Section 16.
    3. Company Termination. Dentistry.com may terminate this Agreement for convenience upon thirty (30) days’ written notice, or immediately upon Client’s breach of this Agreement, including failure to pay undisputed amounts when due.
    4. Effect of Termination. Upon termination or expiration:
      (a) Client shall promptly pay all outstanding Service Fees due through the effective termination date;
      (b) paid enhancements and promotional placements will be discontinued; and
      (c) Dentistry.com may remove Client’s paid listing(s) or convert them to a non-paid or limited listing, if applicable, in Dentistry.com’s discretion and consistent with applicable law.
  4. Dentistry.com’s Right to Refuse, Suspend, or Remove Listings
    1. Dentistry.com reserves the right to refuse, suspend, edit, decline publication of, or remove any Client listing, enhancement, or content if Client’s conduct, business practices, licensing status, consumer complaints, content, or public image are deemed inconsistent with Dentistry.com’s policies, ethical standards, or risk management requirements, or if required to comply with applicable law, regulation, court order, or platform rules. Dentistry.com may also suspend Services for non-payment or suspected misuse or fraud.
  5. Client Warranties and Professional Compliance
    1. Client represents and warrants that all dentists and dental professionals referenced in Client’s listing(s):
      1. hold and maintain all licenses, permits, and authorizations required to provide dental services;
      2. are in good standing with all applicable licensing boards and regulatory authorities;
      3. comply with all applicable federal, state, and local laws and regulations governing the practice and advertising of dentistry; and
      4. provide services in accordance with applicable professional standards of care.
    2. Client shall notify Dentistry.com promptly in writing of any suspension, restriction, sanction, lapse, or loss of licensure affecting any professional referenced in Client’s listing(s).
  6. Reviews, Rankings, and Presentation
    1. Editorial Discretion. Dentistry.com retains sole discretion over the format, layout, categorization, sorting, labeling, and ranking of listings.
    2. Reviews and User Content. Dentistry.com may display consumer reviews or other user-generated content relating to Client. Dentistry.com does not guarantee removal of any review and will evaluate removal requests in accordance with its policies and applicable law.
    3. No Performance Guarantee. Dentistry.com does not guarantee traffic volume, impressions, rankings, call volume, appointment bookings, patient conversions, or any specific business outcome.
  7. Confidentiality
    1. Each party’s non-public business information shall be treated as confidential (“Confidential Information”). Commercial terms and pricing under this Agreement constitute Dentistry.com Confidential Information. Confidential Information may be disclosed only to personnel or contractors with a need to know for purposes of performing under this Agreement and who are bound by confidentiality obligations. Each party is responsible for breaches by its personnel or contractors.
  8. Privacy and CCPA
    1. To the extent Client receives or has access to personal information in connection with the Services, Client agrees:
      (a) not to sell such personal information;
      (b) not to retain, use, or disclose such personal information for any purpose other than responding to the consumer and providing dental services; and
      (c) to comply with all applicable privacy laws, including the California Consumer Privacy Act (“CCPA”) and its implementing regulations.
  9. Independent Contractor; No Practice of Dentistry
    1. Dentistry.com is an independent contractor and is not engaged in the practice of dentistry. Dentistry.com does not control, direct, or influence clinical decisions, diagnosis, treatment, pricing, or patient care provided by Client.
  10. Disclaimer of Warranties
    1. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, DENTISTRY.COM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DENTISTRY.COM DOES NOT WARRANT THAT ANY LISTING WILL APPEAR IN ANY PARTICULAR POSITION OR FORMAT OR THAT THE SERVICES WILL PRODUCE ANY PARTICULAR RESULTS.
  11. Indemnification
    1. Client shall indemnify, defend, and hold harmless Dentistry.com and its affiliates, officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
      (a) Client’s dental services, diagnosis, treatment, pricing, or patient interactions;
      (b) Client’s violation of law or breach of this Agreement; or
      (c) disputes between Client and any consumer, patient, provider, regulator, or third party.
  12. Limitation of Liability
    1. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES.
      EXCEPT FOR BREACHES OF CONFIDENTIALITY, CLIENT’S INDEMNIFICATION OBLIGATIONS, OR UNPAID FEES, EACH PARTY’S TOTAL LIABILITY SHALL NOT EXCEED THE SERVICE FEES PAID BY CLIENT TO DENTISTRY.COM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
  13. Governing Law and Venue
    1. This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-laws principles. Any dispute arising under this Agreement shall be brought exclusively in the state or federal courts located within the State of California, and the parties consent to personal jurisdiction and venue therein.
  14. Changes
    1. Dentistry.com may update these Terms from time to time. Client’s continued use of the Services after any update constitutes acceptance of the revised Terms.
  15. Notices
    1. All notices under this Agreement shall be in writing and delivered by email (with read receipt requested) or by mail as follows:
